By accessing our website, memberships, programs, courses, downloads, community features, or related services (the “Services”), you agree to these Terms and our Privacy Policy. You must be 18 years or older to use the Services.

Not Medical, Legal, or Financial Advice

All content is educational only. We do not diagnose, treat, or cure disease and do not provide medical, legal, tax, or investment advice. No physician-patient, therapist-patient, dietitian-client, or fiduciary relationship is formed. Always consult your licensed healthcare professional. Emergency: call 911 or go to the nearest ER.

Wellness, Exercise & Supplement Risk

You assume all risks related to wellness, movement, exercise, nutrition, devices, and supplements. Statements have not been evaluated by the FDA. Results vary. We make no guarantees.

Accounts, Subscriptions, Auto-Renewal & Cancellation

If you purchase a membership or subscription, it auto-renews at the disclosed interval until you cancel. You authorize recurring charges to your payment method. Cancel anytime via your account portal (or in-app where offered). Cancellations take effect at the end of your current billing period; no refunds or prorations. For annual plans, we send renewal reminders where required by law.

Appointments; Cancellation/Reschedule; No-Shows (48 Hours)

All appointment times are scheduled in Mountain Time (Arizona) unless otherwise stated.

48-hour notice required. To cancel or reschedule an appointment, you must do so at least 48 hours before the appointment start time.
Late cancellations (within 48 hours) are charged 100% of the appointment fee.
No-shows are charged 100% of the appointment fee.

10-minute grace period. A “no-show” includes failure to attend, failure to join the session link, or failure to be present and ready to begin within 10 minutes of the scheduled start time. After 10 minutes, the appointment is considered a no-show and the 100% fee applies.

Late arrival. If you arrive late but within the 10-minute grace period, the appointment will still end at the originally scheduled end time and the full fee applies.

Tech/access issues. You are responsible for reliable internet/device access and the ability to join your session. Client-side technical issues do not change the late-cancellation/no-show policy.

How to cancel/reschedule. Cancel or reschedule via your account portal (preferred) or by emailing info@holisticatelier.com. The timestamp of your request determines whether it falls inside or outside the 48-hour window.

No Refunds; Final Sale; No Chargebacks

All sales are final. Due to the digital and access-based nature of memberships, programs, courses, downloads, and consultations, no refunds, returns, or credits are issued for any reason, including non-use or dissatisfaction, to the maximum extent permitted by law. By purchasing, you request immediate access and waive any right of withdrawal to the extent allowed by law.
Payment plans: You are purchasing the program in full with deferred installments. Canceling access does not cancel your payment obligation.
No chargebacks: You agree not to initiate a chargeback for authorized transactions where access was provided. If you do, we may suspend access, submit evidence to the network, and recover third-party fees (the greater of $35 or actual processor fees). This does not waive any non-waivable consumer rights.

Packages (Multi-Session Bundles); Expiration; Reactivation Fee

Packages are non-refundable and non-transferable.

Late cancel/no-show on a package session. If a scheduled package session is canceled within 48 hours or is a no-show, that session is forfeited (counted as used).

Expiration. Unless otherwise stated at checkout, package sessions must be used within 6 months of the purchase date. Any unused sessions after expiration are forfeited and will not be refunded or credited.

Reactivation / Admin & Plan Update Fee (flat). Any extension, reactivation, or reinstatement of expired sessions is offered only at our discretion and is not guaranteed. If approved, a $99 Reactivation / Admin & Plan Update Fee applies to restore the package and update scheduling continuity. An updated rate may apply to remaining sessions if prices have changed.

Prices, Promotions, Taxes & Billing Errors

Prices may change at any time; taxes may apply. Promotions are limited-time and not guaranteed. We will correct duplicate charges, unauthorized transactions, or failure to provide purchased access once verified in our logs. Remedies are, at our option, access provision/repair/replacement or account credit; cash refunds are provided only where required by law.
Physical merchandise: For third-party-fulfilled goods, we may repair or replace defective/damaged items reported within 7 days of delivery. Returns for “change of mind” are not accepted. Disclaimer of implied warranties of merchantability and fitness is made to the fullest extent permitted by law.

Acceptable Use

You will not: (a) harass, abuse, or defame others; (b) post unlawful or misleading medical claims; (c) scrape, spider, or data-mine; (d) copy, frame, or mirror the Services; (e) upload malware; (f) use the Services to train AI or competitive models without our prior written consent; or (g) violate applicable laws.

Consumer Reviews
Nothing in these Terms is intended to restrict your ability to post or share honest reviews or your opinions about our goods or services, as permitted by law.

Community & User Content (“The Lounge”)

You are responsible for your posts. Do not share PHI, medical images, or lab results in public areas. We may moderate, remove, or terminate access at our discretion. You grant us a limited, non-exclusive, worldwide, royalty-free license to host and display your community posts solely to operate the Services. Testimonials you provide may be used consistent with FTC Endorsement Guides.

Messaging Boundaries (Not for Emergencies)

Portal/email/text messaging is for administrative coordination and limited support only. Messages are not monitored 24/7 and are not appropriate for urgent or emergency matters. Typical response time is 1–2 business days. For emergencies, call 911 or seek immediate medical care.

Intellectual Property

The Services and all content are owned by Holistic Atelier de Élégance LLC or licensors and protected by law. You receive a limited, revocable, non-transferable license for personal, non-commercial use. No reproduction, distribution, derivative works, or commercial use without prior written consent.
Trademark note: No claim is made to the exclusive right to use “HOLISTIC” apart from the mark as shown.

HIPAA / PHI

We are not a HIPAA Covered Entity. Do not email or post protected health information (PHI). We use reputable vendors (e.g., Practice Better) that may maintain HIPAA-aligned features and separate terms.

Third-Party Services

We may link to or integrate third-party platforms (e.g., Practice Better, Squarespace, Flodesk). We are not responsible for their content, terms, or privacy practices.

Disclaimers; Limitation of Liability

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES (EXPRESS OR IMPLIED), INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
LIMITATION: IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF (A) FEES YOU PAID TO US IN THE 12 MONTHS PRECEDING THE EVENT OR (B) $100.

Indemnification

You agree to defend, indemnify, and hold us harmless from claims, damages, liabilities, costs, and expenses (including attorneys’ fees) arising out of your use of the Services, your content, or your violation of these Terms or law.

Dispute Resolution; Governing Law; Arbitration; Class Waiver

Governing Law: Arizona, without regard to conflicts rules.
Venue: Maricopa County, Arizona.
Arbitration: Any dispute arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered by AAA under its Consumer Arbitration Rules, in Phoenix, AZ. Judgment may be entered in any court of competent jurisdiction. You waive the right to a jury trial.
Class Waiver: Disputes are on an individual basis only; no class actions or class arbitration.
Small Claims: Either party may proceed in Maricopa County small-claims court.
30-Day Opt-Out: You may opt out within 30 days of first acceptance by mailing a signed notice to the address above.

Force Majeure

We are not liable for delays/failures due to events beyond reasonable control (e.g., outages, acts of God, labor disputes).

Electronic Communications & E-SIGN Consent; Notices
You consent to receive notices electronically and agree that electronic signatures and records satisfy legal requirements. General inquiries and routine communications should be sent to info@holisticatelier.com. Formal legal notices must be sent via certified mail to the Address for Notices listed above. Email is not required for formal legal notice.

Changes; Severability; Survival; Entire Agreement

We may update these Terms by posting a new “Last Updated” date. Continued use after the effective date = acceptance. If any provision is unenforceable, the remainder survives. Sections dealing with subscriptions, IP, disclaimers/limitations, indemnity, arbitration, and notices survive termination. These Terms (including the Privacy Policy below) are the entire agreement between you and us regarding the Services.

Privacy Policy (U.S. Multi-State)

Scope

This Policy explains how we collect, use, disclose, and protect personal information when you use the Services. By using the Services, you agree to this Policy.

Information We Collect

You provide: name, email, phone, address, account data, preferences, forms, surveys, support messages, order history; limited payment details via our processor (we do not store full card numbers).

Automatic: device identifiers, IP, approximate location, pages viewed, time on site, referrers, cookies/ad-tech data.

From third parties: analytics, advertising partners, social and signup tools, service providers.

How We Use Information

Provide, secure, and improve the Services; personalize; process payments; administer memberships; communicate with you; run promotions; perform analytics and marketing; detect and prevent fraud; comply with law; defend our rights.

Sharing/Disclosure

We share with service providers (hosting, analytics, email, payments, fulfillment, support), affiliates under common control, in corporate transactions, to comply with law or protect rights/safety, and with your direction or consent. Do not send PHI outside secure portals.

Cookies, Analytics & Ads

We use cookies and similar technologies for functionality, performance, and advertising. Manage cookies in your browser; some features may rely on third-party tools (e.g., analytics, social platforms).

“Sale/Share” & Targeted Advertising; Do Not Sell/Share

Some states define “sale,” “share,” or “targeted advertising” broadly. Where required, we honor requests to opt out of sale/share/targeted advertising. To exercise, submit a Privacy Request (see below) selecting “Opt-Out: Sale/Share/Ads.” We apply your preferences to the extent required by law.

Your Privacy Rights & Requests

Subject to verification and applicable law, U.S. residents may request to access, correct, or delete personal information and to opt out of sale/share/targeted advertising. We do not discriminate for exercising rights.
How to submit a request: use our Privacy Request intake (choose Access / Correct / Delete / Opt-Out) or write to the mailing address above (Attn: Privacy). We verify identity (and agent authority) before acting.

Notice of Financial Incentive

If we offer discounts/benefits in exchange for your email (e.g., The Atelier Edit), we will describe material terms at sign-up; you may opt out at any time.

Retention

We retain personal information for the duration of your membership/relationship plus a reasonable period or as required by law.

Security

We use reasonable administrative, technical, and physical safeguards. No method of transmission or storage is 100% secure.

Children

The Services are not directed to children under 13. We do not knowingly collect personal information from children under 13. If you believe a child provided information, contact us and we will delete it.

International/GDPR Notice

If you access from outside the U.S., your data may be processed in the U.S. If EU/UK laws apply, lawful bases may include consent, contract, legitimate interests, legal obligations, and defense of claims. You may have additional rights under those laws.
